Terms of Service

1. Agreement to Terms

By accessing or using the Plate platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service. The Service is operated by Plate ("we," "us," or "our").

2. Description of Service

Plate provides a cloud-based ordering and operations platform for restaurants and food trucks. The Service includes online, QR, and kiosk ordering, a kitchen display system, public ready boards, waitlists, reservations, open tabs, and food-truck stop scheduling. We may update, modify, or discontinue features at any time.

3. Accounts

You must create an account to use the Service. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. You must provide accurate information and be at least 18 years old to use the Service.

4. Plans & Billing

No separate Plate setup fee, hosting fee, or monthly software charge. The Plate platform fee starts at 5%, drops to 3.75% after $2.5M in combined lifetime revenue processed through Plate, and drops to 2.5% after $10M. Every business under the same owner contributes to the same lifetime total, and the lower rate applies to future revenue processed through Plate across the owner group. The platform fee remains due on every workflow and transaction Plate processes, whether the operator absorbs it or offsets some or all of it with a disclosed ordering fee charged to the guest. You are responsible for disclosing any guest-facing ordering fee and for its treatment under the law where you operate. Fees are non-refundable unless required by law. We may change pricing with 30 days notice.

5. Payment Processing

Order payments are processed through a supported third-party payment processor, currently Stripe or Square, that you connect to your account. You must maintain a valid processor account to accept payments. Plate collects its platform fee on Plate-processed activity. You are responsible for any processor fees in addition to our fee.

6. Acceptable Use

You agree not to: (a) violate any laws; (b) interfere with or disrupt the Service; (c) attempt to gain unauthorized access; (d) use the Service for any illegal purpose; (e) transmit malware; or (f) scrape or harvest data from the Service.

7. Data & Privacy

Your use of the Service is also governed by our Privacy Policy. You are responsible for complying with applicable data protection laws regarding your guests' data. We process data as outlined in our Privacy Policy.

8. SMS Messaging Terms

When a guest opts in during checkout and provides a phone number, they consent to receive automated transactional texts from the venue, delivered through the Plate platform via a third-party messaging provider. Messages may include order confirmations, order-ready alerts, and status updates. Consent is not a condition of ordering, and guests can reply STOP to opt out or HELP for assistance. Message and data rates may apply.

9. Intellectual Property

The Service and its content are owned by Plate. You retain ownership of your data and content uploaded to the Service. By using the Service, you grant us a limited license to host, store, and display your content as necessary to provide the Service.

10. Limitation of Liability

To the maximum extent permitted by law, Plate shall not be liable for any indirect, incidental, special, consequential, or punitive damages. Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim.

11. Termination

Either party may terminate the agreement at any time. Upon termination, your right to use the Service ceases. We will make your data available for export for 30 days after termination. We may suspend or terminate accounts that violate these Terms.

12. Changes to Terms

We may update these Terms from time to time and will notify you of material changes via email or through the Service. Continued use after changes constitutes acceptance of the updated Terms.
